Terms of service for FertilityWindow subscriptions

The working agreement between your clinic and MLJ, SASU: what the software does, what it costs, and what each side is responsible for.

1. Acceptance

These terms form the contract between MLJ, SASU, publisher of FertilityWindow, and the clinic or organisation that subscribes to the service. You accept them when you sign an order form, when you send the request form on this website and then start a trial workspace, or when anyone at your practice uses the software. If you are agreeing on behalf of a practice, you confirm you are authorised to bind it. Please read the privacy policy and the legal notice as well; together the three pages are the whole agreement.

2. What the service is

FertilityWindow is a web application for fertility clinic patient coordination. It builds a cycle calendar for each patient, lays out her stimulation medication schedule day by day with dose and timing, publishes the monitoring appointments the clinic sets, sends the reminders your protocol calls for, and returns the patient's confirmation to the coordinator's dashboard so the team can see at a glance who has read the change and who has not. It is a communication and scheduling tool.

FertilityWindow is not a medical device and gives no clinical advice. It does not calculate a dose, choose a trigger time, interpret an oestradiol level or decide when to cancel a cycle. Every schedule it shows is one your clinicians entered or approved. Your practice keeps full clinical judgement and full responsibility for the care of each patient, and must keep a workable manual fallback for the rare hour when any web service is unreachable.

3. Eligibility and accounts

The service is sold to licensed reproductive medicine practices and the staff they authorise. Each coordinator, nurse, embryologist, physician and administrator needs a personal login; shared logins are not permitted because the audit trail on a dose change has to name a person. You are responsible for keeping credentials confidential, for removing access the same day someone leaves your team, and for telling us promptly at jimenezjulien42@gmail.com if you suspect an account has been compromised.

4. Acceptable use

Use FertilityWindow to coordinate care for your own patients. Do not resell or sublicense access, do not copy the interface or the source, do not attempt to reverse engineer the application, do not probe or load test the platform without our written agreement, and do not upload malicious code. Do not use the messaging features to send marketing to patients: this channel exists so a woman in a stimulation cycle trusts what arrives on her phone, and that trust is the product. We may suspend an account that is putting patient safety, platform stability or another customer at risk, and we will explain why in writing when we do.

5. Subscription and billing

Plans are Single Clinic at $119 per month, Clinic Plus at $249 per month and Clinic Group at $499 per month, all in United States dollars and all billed monthly in advance. The price you sign at is the price for the plan you chose; the plan you are on is stated on every invoice. Fees exclude any sales or value added tax, which is added where it is due. Setup, protocol import, coordinator training and support are included in every plan at no extra charge.

Every plan is billed monthly and can be cancelled at any time. There is no annual lock in, no termination penalty and no notice period beyond the current month. Payment is due on the invoice date; an invoice more than thirty days late may lead to suspension after we have written to you twice. We may change list prices with sixty days of notice, and a change never applies mid month.

6. Cancellation, upgrades and downgrades

Cancel by writing to jimenezjulien42@gmail.com from an administrator address. Access continues to the end of the paid month, and you are not charged again. We do not prorate a part month that has already begun. Upgrading takes effect immediately with the difference prorated; downgrading takes effect at the next renewal so that no cycle in progress loses a feature partway through. For thirty days after cancellation your workspace stays available in read only mode so you can export; after ninety days it is deleted permanently.

7. Your data

Everything your practice puts into FertilityWindow stays yours: patient records, cycle calendars, medication schedules, monitoring dates, message history and audit logs. We process it solely to run the service for you, under the business associate agreement and data processing agreement we sign before your first patient is loaded. We do not sell it, mine it for advertising, or train models on it. You can export your data in a structured format at any time during the subscription and during the read only window that follows it.

8. Availability and support

We target 99.9 percent monthly availability outside announced maintenance, and maintenance is scheduled for United States overnight hours, away from morning monitoring blocks. Support runs on business days with a same day answer to any question that affects a patient's schedule. Should a fault ever put a monitoring appointment or a dose confirmation at risk, tell us at once and we will treat it ahead of everything else on our list.

9. Warranties and disclaimer

We warrant that we provide the service with professional care and skill, in line with the description above. Beyond that, and to the fullest extent the law allows, the service is provided as is, without implied warranty of merchantability, fitness for a particular purpose or non infringement. We do not warrant that the software will be free of every defect, or that a patient will always read, understand or act on a reminder she receives.

10. Limitation of liability

Neither party is liable for indirect or consequential loss, including lost revenue, lost cycles, lost reputation or lost data that a reasonable backup would have preserved. Our total liability arising out of the agreement in any twelve month period is capped at the fees you paid us in the twelve months before the event that caused the claim. Nothing here limits liability that cannot lawfully be limited, including liability for fraud, for gross negligence or for death or personal injury caused by negligence.

11. Indemnity

You agree to hold us harmless against third party claims arising from your clinical decisions, from content your staff enters, from your use of the service outside these terms, or from your failure to meet a legal obligation of your own such as patient consent or record retention. We will hold you harmless against a third party claim that the software as we supply it infringes an intellectual property right. Each side must notify the other promptly and cooperate on the defence.

12. Changes to these terms

We may update these terms as the product and the law develop. Material changes are announced by email to account administrators at least thirty days before they take effect, and the date at the top of this page always shows the current version. If a change genuinely does not work for your practice, cancel before it takes effect and you owe nothing further.

13. Governing law and contact

This agreement is governed by French law. Any dispute that we cannot settle in good faith discussion will be brought before the competent courts of Paris, France. If any clause is held unenforceable, the rest stays in force.
